Gotta Web Design LLC provides professional web design, web development, AI integration, SEO, and related digital services. The scope of each project is defined in a written proposal or statement of work agreed upon by both parties before work begins.

Services may include website design, development, content management systems, AI chat assistants, booking systems, CRM tools, analytics dashboards, inventory management, and monthly maintenance/hosting plans.

All projects require a 50% deposit before work begins. The remaining balance is due upon project completion and before the final website is launched or delivered.

Monthly services (hosting, AI assistant, SEO, maintenance) are billed in advance on a monthly basis. Invoices are due within 15 days of receipt. Late payments may result in service suspension.

All prices are in US dollars. We accept PayPal, bank transfer, and major credit cards. We do not offer refunds on completed work or on monthly service fees already paid.

Project timelines are estimates based on the agreed scope of work and timely client cooperation. Delays caused by the client (e.g., late content delivery, delayed feedback) may extend the timeline without additional cost to GWD.

GWD will make reasonable efforts to meet agreed deadlines. Neither party shall be liable for delays caused by circumstances beyond their reasonable control.

The client agrees to:

• Provide accurate business information, content, logos, and images required for the project

• Respond to design approvals and feedback requests within 5 business days

• Designate a single point of contact for all communications

• Ensure all content provided is legally owned or licensed by the client

GWD is not responsible for legal issues arising from client-provided content.

Upon receipt of full payment, the client owns the final website design and custom code developed specifically for their project.

GWD retains the right to:

• Display the completed project in our portfolio

• Use general frameworks, libraries, and tools that were developed prior to the project

• Retain ownership of any proprietary tools, systems, or templates not developed exclusively for the client

Third-party assets (fonts, stock photos, plugins, frameworks) remain subject to their respective licenses.

GWD offers optional monthly hosting and maintenance plans. These plans include server uptime monitoring, security updates, and minor content updates as defined in the plan.

Monthly plans may be cancelled with 30 days written notice. GWD reserves the right to migrate hosted websites to different infrastructure as needed to maintain performance and security.

GWD is not liable for data loss due to hardware failure, cyberattacks, or third-party service outages. We recommend clients maintain independent backups.

GWD's AI chat assistants are powered by third-party AI providers (including Anthropic's Claude). The client acknowledges that:

• AI responses are automated and may occasionally be inaccurate

• The client is responsible for reviewing and monitoring AI interactions on their website

• GWD is not liable for incorrect or inappropriate AI-generated responses

• AI services are subject to the terms and availability of our upstream AI providers

To the maximum extent permitted by law, GWD shall not be liable for:

• Loss of revenue, data, or business opportunities

• Indirect, incidental, or consequential damages

• Downtime of third-party services (hosting, payment processors, etc.)

GWD's total liability for any claim shall not exceed the total fees paid by the client for the specific service in question during the 3 months preceding the claim.

GWD warrants that services will be performed in a professional and workmanlike manner. We do not guarantee specific search engine rankings, website traffic, or business results.

We will correct any functional errors or bugs in delivered work within 30 days of launch at no additional cost, provided the error is not caused by client modifications or third-party changes.

Either party may terminate a project with 14 days written notice. In the event of termination:

• The client pays for all work completed to date

• GWD delivers all completed work product

• Monthly services terminate at the end of the current billing period

GWD reserves the right to terminate services immediately if the client violates these terms, engages in illegal activity, or fails to pay after 30 days past due.

Both parties agree to keep confidential any proprietary business information shared during the project. This obligation survives termination of the service agreement for 2 years.

These Terms are governed by the laws of the State of Oregon, United States. Any disputes shall be resolved in the courts of Washington County, Oregon. The parties agree to attempt mediation before initiating litigation.

GWD reserves the right to update these Terms at any time. Significant changes will be communicated via email. Continued use of our services after notification constitutes acceptance of the updated terms.
